Part 1: Indemnity Declaration & Undertaking

For Teleconsultation Services at QikDoc Tele-Health

1 Independent Professional Responsibility

I acknowledge and agree that:

  • I am an independent medical professional and not an employee of the platform
  • All medical advice, diagnosis, prescriptions, and treatment decisions provided by me on a case-to-case basis are made solely under my professional judgment
  • The platform functions only as a technology intermediary facilitating teleconsultation

2 Indemnity Against Claims & Liabilities

I hereby agree to indemnify, defend, and hold harmless the platform from and against:

Any medical negligence claims

Errors or omissions in diagnosis or treatment

Improper, illegal, or unethical prescriptions

Breach of professional duty or misconduct

Violation of NMC / Telemedicine Practice Guidelines arising out of or related to my teleconsultation services provided through the platform

3 Legal Proceedings & Compensation

I agree that:

Any civil, criminal, consumer, or regulatory action arising from my medical services shall be my sole responsibility

I shall bear all costs related to:

  • • Legal defense
  • • Compensation or damages
  • • Penalties or fines imposed by courts or medical councils without any liability on the platform

4 Compliance With Laws & Guidelines

I undertake that:

I Will Comply With

  • • NMC Act
  • • Telemedicine Practice Guidelines
  • • IT Act & data protection laws
  • • All applicable healthcare regulations

Non-Compliance Consequences

I understand that non-compliance may lead to immediate suspension or termination from the platform

5 Data Confidentiality & Misuse

I agree that:

  • Any breach of patient confidentiality or misuse of patient data attributable to my actions shall be entirely my responsibility
  • I shall indemnify the platform against any claims arising from such breach

6 No Vicarious Liability of Platform

I expressly agree that:

The platform shall not be vicariously liable for my professional acts or omissions

I shall not represent myself as an employee, agent, or legal representative of the platform

7 Medical Indemnity Insurance (If Applicable)

I declare that:

If insured, details may be requested separately

8 Voluntary Execution

I confirm that:

  • I have read and understood this Indemnity Declaration
  • I am signing this voluntarily, without coercion or undue influence
  • This declaration shall remain valid for the entire duration of my association with the platform and thereafter for any acts committed during such period

Part 2: Doctor–Platform Service Agreement

Teleconsultation Services – India | QikDoc Tele-Health

This Service Agreement ("Agreement") is entered into between:

1 Nature of Engagement

1.1 The Doctor is engaged as an independent professional and not as an employee, agent, or partner of the Platform.

1.2 The Platform acts solely as a technology intermediary facilitating teleconsultation between doctors and patients.

2 Scope of Services

2.1 The Doctor shall provide teleconsultation services in accordance with:

  • • Telemedicine Practice Guidelines (India)
  • • National Medical Commission (NMC) regulations
  • • Applicable laws and ethical standards adopted and amended from time to time

2.2 The Doctor shall practice only within their recognised qualifications and competence.

3.1 All medical advice, diagnosis, prescriptions, and treatment decisions shall be made solely by the Doctor.

3 Professional Responsibility

3.2 The Platform shall have no role in clinical decision-making and shall not be liable for medical outcomes.

4 Compliance & Conduct

4.1 The Doctor agrees to:

Maintain patient confidentiality

Obtain appropriate patient consent

Prescribe medicines only as permitted under telemedicine guidelines

4.2 Any violation may result in immediate suspension or termination from the Platform.

5 Fees & Payments

5.1 The Doctor shall be paid consultation fees as per the commercial terms mutually agreed from time to time.

5.2 The Platform may deduct applicable taxes, commissions, or service charges, as communicated.

6 Intellectual Property & Platform Use

6.1 The Platform retains all rights over its software, brand, and technology.

6.2 The Doctor shall use the Platform only for lawful medical purposes and shall not misuse or copy platform systems.

7 Indemnity & Liability

7.1 The Doctor agrees to indemnify and hold harmless the Platform against any claims, losses, or liabilities arising from:

  • • Medical negligence
  • • Ethical or legal violations
  • • Breach of professional duty

7.2 The Platform shall not be vicariously liable for the Doctor's professional acts or omissions.

8 Term & Termination

8.1 This Agreement shall commence from the date of acceptance and remain valid until terminated.

8.2 Either party may terminate this Agreement with prior notice.

8.3 Obligations related to confidentiality and indemnity shall survive termination.

9 Governing Law & Jurisdiction

9.1 This Agreement shall be governed by the laws of India.

9.2 Courts at Mumbai, Maharashtra shall have exclusive jurisdiction.

10 Acceptance & Execution

By accepting this Agreement electronically, the Doctor confirms that they have read, understood, and agreed to all terms herein.
